Conditions for the provision of the service

Contract Object:

Centrolab Unidad Médica y Diagnóstica will provide sample collection and/or processing services, subject to agreed tariffs and defined services according to their level of specialization and with permits issued by the Ministry of Health and other regulatory bodies.

Compliance with Regulations:

Centrolab Unidad Médica y Diagnóstica commits to adhering to the procedures and requirements established by the Ministry of Health, sectional health secretariats, Health Superintendence, and other regulatory and supervisory entities that oversee the offered services, in cooperation with clients. This cooperation may include: a) Providing reasonable access to relevant laboratory areas to observe specific laboratory activities requested by the client. b) Preparing, packaging, and sending items needed by the client for verification purposes. Centrolab Unidad Médica y Diagnóstica will provide the necessary technical and infrastructural resources for service provision.

Sample Processing:

Centrolab Unidad Médica y Diagnóstica commits to performing the agreed analyses with the client, ensuring that all tests meet rigorous quality standards and that results are accurate and reliable. The client agrees that biopsies, pathologies, and cytologies sent will be processed by duly accredited support entities, which will be responsible for processing and reporting.

Quality Controls:

Centrolab Unidad Médica y Diagnóstica guarantees quality in results through internal and external quality controls, as well as other necessary controls that certify quality to the client.

Acceptance of Referrals:

Centrolab Unidad Médica y Diagnóstica reserves the right to accept samples based on technical criteria, acceptance, and reliability to generate results. If quality conditions are not met, the client will be informed via email to request a new sample.

Facility Security Conditions:

Laboratory areas are restricted access. There is a security camera system to ensure impartial and confidential work by technical-administrative staff.

Confidentiality:

Centrolab’s Quality Management System (QMS) mandates that information within the QMS and its reach remains within physical facilities, ensuring the integrity, impartiality, and reliability of clients and stakeholders. Confidential medical and personal patient information is protected, ensuring only authorized personnel have access and that secure methods are used for data storage and transmission.

Both parties commit to not disclosing or using confidential information against the other or for personal gain, and to adopting necessary measures to ensure information confidentiality. Information obtained under this contract will be used solely for its intended purposes.

During the contract term, parties agree to maintain strict confidentiality regarding commercial and industrial secrets learned through this contract and not use it for their benefit or that of third parties without express written authorization from the other party.

"Confidential Information" includes all information disclosed, known, or developed as a result of this contract, related to financial condition, prospects, research, technology, business plans, rates, clients, suppliers, distributors, reports, and business methods not known to the general public.

Results are valid only for the analyzed sample; the laboratory is not responsible for misuse of the provided information.

Referral of Samples to Reference Laboratories:

By signing and accepting the service conditions, the client agrees that analyses not performed at Centrolab Unidad Médica y Diagnóstica and requested in their contract will be contracted with another processing laboratory, which complies with the current regulations of the Mandatory Health Quality Guarantee System, or is accredited under international ISO standards to ensure the reliability of analyses. No partial or total results will be delivered without prior full payment for the analysis performed. Note: except when payment is through credit.

Opinions and Interpretations:

The laboratory does not issue any opinions or interpretations regarding the results provided to the client.

Sample Delivery:

Sample reception at Centrolab Unidad Médica y Diagnóstica is from Monday to Friday between 7:00 am - 4:50 pm, and Saturdays from 7:00 am - 12:30 pm.

Delivery Times:

Delivery times are specified in the quotation sent to the client and/or in the current year's service portfolio. Result delivery times are counted from the sample receipt at the laboratory and considering the receipt of all requested information in the service order, client registration, and RUT (for first-time clients), as well as confirmation of payment support for cash clients or those who need to make a certain percentage payment before processing the samples.

Result Delivery Updates:

The laboratory is obligated to inform the client of any deviations from the contract/agreement and must keep a record (written, email, phone, etc.) of conversations and agreements with the client. In case of deviation in delivery times, the laboratory will notify the client through communication channels such as email, written notice, phone, or WhatsApp.

Result Inquiry:

The laboratory will send results to the client’s email, and an instruction manual for querying results will also be provided.

Repetitions:

The cost of repeating an analysis is borne by the client, but if an analytical error by the laboratory is proven, the laboratory will cover the cost. Repetition is subject to sample stability periods. The laboratory may request a new sample with the same characteristics as the initial one.

Supply Provision:

Upon negotiation with the client, Centrolab Unidad Médica y Diagnóstica can provide necessary containers and supplies for sample collection such as tubes, cytological, and/or coprological jars.

Legal Requirements:

If required by a legal or competent authority, information will be provided, and the client will be notified via email. The laboratory will assume consequences if it fails to comply.

Information Request:

The client may request information on sample collection conditions, packaging, preservation, maximum storage time, and analysis methodology through our communication channels.

Collection, Packaging, and Transport:

The client must follow laboratory instructions for sample collection, storage, and transport, including using sterile containers, maintaining correct temperature, and avoiding contamination. The PORTFOLIO OF SERVICES and SAMPLE SHIPPING INSTRUCTIONS are provided with this contract.

Accurate Identification:

The client must correctly label each sample with required information, such as patient name and identification document, to avoid identification errors and ensure correct association of results.

Service Order Completion:

The client must complete the digital service order form, ensuring all fields are filled and exams are specified without using abbreviations.

Sample Addition:

To add a new sample, the client must request it from the relevant area. Centrolab Unidad Médica y Diagnóstica will verify the conditions of the sample in the biobank and inform the client if the request is viable through the channel used.

Informed Consent:

In some cases, the client must obtain informed consent from the patient before collecting the sample, especially for tests that may involve risks or important medical decisions.

Open and Clear Communication:

The client must maintain effective communication with the laboratory, providing any additional relevant information and responding to queries or additional requirements from the laboratory.

Sample Shipping:

The client must inform sample shipping via our WhatsApp channel 3103447688.

Messaging Scheduling:

The client must schedule sample collection by sending a request through the WhatsApp channel 3103447688 to coordinate timing.

Service Order Payment:

Payment must be made by transfer to CENTROLAB at account number 09700000618 Savings Bancolombia. The client must pay for the services as per the service order and/or quotation. Proof of payment: The transfer receipt along with the list of exams must be sent via the WhatsApp channel 3103447688 (also in physical form with the samples as support). The client agrees to make the payment under the conditions specified in this order. The client understands and agrees that this document serves as an executive title for non-compliance with any conditions.

Service Billing:

Centrolab Unidad Médica y Diagnóstica will request payment for services provided by sending an electronic invoice to the email registered by the client, attaching any required support documents.

Service Suspension:

Centrolab Unidad Médica y Diagnóstica may suspend services with prior written notice via certified mail or email in case of payment default. Services will resume once the client meets payment obligations and any overdue interest. Invoices sent or emailed to the client's registered email will serve as an executive title for judicial collection. In case of non-compliance or default, the client agrees to cover any pre-legal or judicial collection fees and expenses related to the client's withdrawal or database updates due to non-compliance or default.

Duration:

The contract term is 1 year from signing. After this period, it will be renewed under the same terms and conditions for successive 1-year periods unless either party notifies the other in writing of its intent to terminate, with at least thirty (30) calendar days' notice.

Value:

The contract value is indefinite, with the amount determined according to previously agreed tariffs. Tariffs may be adjusted annually upon agreement between the parties.

Assignment Prohibition:

Parties are prohibited from assigning this contract, in whole or in part, to any individual or entity without prior express written consent from the other party.

Termination Grounds:

Centrolab Unidad Médica y Diagnóstica and the client agree that this contract will terminate in the following cases: a) Mutual agreement. b) Breach of obligations by either party. c) Dissolution of either party. d) Initiation of restructuring, compulsory liquidation, or insolvency of either party, as permitted by law. e) Either party may terminate the contract unilaterally and early by notifying the other in writing with a thirty (30) calendar days' notice or after 30 days of payment default, without compensation to either party.

Modification:

Any modification to this contract, except for tariffs and prices related to service provision, must be mutually agreed upon and documented in writing, except for contrary agreements. Modifications will take effect thirty (30) days after modification, except for those requiring immediate implementation, which will have a shorter term.

No Employment Relationship:

Centrolab Unidad Médica y Diagnóstica will fulfill its obligations independently, using its own resources or contracting with third parties at its own risk. No employment relationship exists between Centrolab’s employees and the client. Centrolab Unidad Médica y Diagnóstica will provide services

Declarations and authorizations

1. SUPPLY AND UPDATE OF INFORMATION.

The client is obligated to CENTROLAB SAS to provide true and verifiable information and to update his/her personal and commercial information at least once (1) a year, or whenever requested, providing all the required documentary support.

2. AUTHORIZATION FOR CONSULTATION AND REPORTING IN RISK CENTERS.

The client, as the owner of the information, acting freely and voluntarily, expressly and irrevocably authorizes CENTROLAB SAS to consult and report, at any time, to the Risk Centers, all relevant information to know their performance as a debtor, their payment capacity or to assess the future risk of granting them a credit or service.

3. AUTHORIZATION FOR PROCESSING OF PERSONAL DATA.

I declare that CENTROLAB SAS has informed me about its personal data processing policy, as well as my rights and the way to exercise them. Likewise, I acknowledge that the processing to which the data provided will be subject will be done in accordance with the provisions of Law 1581 of 2012 and Decree 1377 of 2013, or any other regulation that modifies them.
